Terms of Service

1. Acceptance of Terms

By installing, accessing, or using Phora AI ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you ("Merchant," "you," or "your") and Phora AI ("we," "us," or "our").

2. Service Description

Phora AI is an e-commerce platform that provides AI-powered image transformation services using Google Gemini AI. The Service supports Shopify, WooCommerce, BigCommerce, and other platforms. The Service allows merchants to:

  • Transform product images using AI-generated backgrounds and scenes
  • Process multiple images concurrently in batch operations
  • Use natural language prompts or preset transformations
  • Approve transformations before publishing to your store
  • Upload reference images for consistent brand aesthetics (any credit pack)

3. Account Registration

3.1 Account Requirements

To use Phora AI, you must create an account with a valid email address or sign in with Google. To sync products, you must connect an e-commerce store (Shopify, WooCommerce, or BigCommerce) with administrator access. You are responsible for maintaining the security of your account credentials.

3.2 Store Authorization

By connecting your store to Phora AI, you authorize us to access your store data as outlined in our Privacy Policy. This includes read/write access to:

  • Products and product media
  • Store information for billing purposes

3.3 Account Responsibility

You are responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Credit Packs and Billing

4.1 Available Tiers

Phora AI offers one-time credit packs and a free tier:

  • FREE: Free: 10 images on signup (one-time, no credit card required)
  • STARTER: Pack 25: 25 credits for $15/€14 ($0.60/€0.56 per credit)
  • PROFESSIONAL: Pack 75: 75 credits for $39/€36 ($0.52/€0.48 per credit) — 2K resolution, reference images
  • BUSINESS: Pack 200: 200 credits for $99/€91 ($0.50/€0.46 per credit) — 2K resolution, reference images
  • STUDIO: Studio Subscription: $199/€185 per month — 500 credits/month (accumulating), 2K resolution, reference images, unlimited stores, priority queue, 20% discount on credit packs

4.2 Credit Usage

Each image transformation consumes 1 credit. Credits never expire — purchased credits remain in your account until used. Credits are consumed when an image is generated, whether you approve or reject the result. Refunds are only issued for cancelled jobs or technical failures.

4.3 Feature Tiers

Your available features are determined by whether you have purchased any credit pack. All credit packs unlock premium features including 2K output resolution and reference image matching.

4.4 Credit Consumption

Credits are consumed at the time of image generation:

  • STARTER: Each image generation costs 1 credit, regardless of whether you approve or reject the result
  • PROFESSIONAL: Refunds are only issued for cancelled jobs (before processing starts) or technical failures
  • BUSINESS: This ensures fair pricing aligned with the actual AI processing cost per generation
  • STUDIO: Studio Subscription members receive 500 credits per month with priority processing

When your credits run out, purchase additional credit packs to continue generating images.

4.5 Payment Terms

All credit pack purchases are processed securely through Stripe as one-time payments. By purchasing, you authorize Stripe to charge your payment method for the selected credit pack amount.

4.6 VAT and Price Display

Prices shown are net of VAT unless stated otherwise. Applicable VAT is calculated at checkout: Hungarian VAT-registered buyers pay 27% Hungarian VAT; EU VAT-registered businesses receive a reverse-charge invoice (EU VAT reverse charge) upon providing a valid VAT ID; EU private consumers are charged their member-state VAT rate (OSS); non-EU customers are VAT-exempt. Final totals and VAT are shown on the Stripe invoice.

5. Refunds and Account

5.1 Account Deletion

Since Phora uses one-time credit packs (not subscriptions), there is nothing to cancel. You may delete your account at any time from your account settings. Remaining credits will be forfeited upon account deletion.

5.2 Refund Policy

We offer pro-rata refunds on credit pack purchases within 14 days. If you've used some credits, we'll refund the unused portion. For example, if you purchased 75 credits and used 10, you'll receive a refund for the remaining 65 credits. Refund requests can be submitted from your dashboard settings. Credits associated with the refunded amount will be removed from your account.

5.3 Free Tier

The FREE tier includes 10 complimentary transformations to try the service before purchasing a credit pack. Free credits cannot be refunded.

5.4 Consumer Right of Withdrawal (EU consumers / B2C)

If you qualify as a consumer resident in the EU, under Hungarian Government Decree 45/2014 (II. 26.) §20 (implementing Directive 2011/83/EU) you may withdraw from a service contract without giving reasons within 14 days of conclusion.

Important — digital service exception [Decree 45/2014 §29(1)(m) and §29(2)]: If service performance (the first image generation) begins before expiry of the 14-day withdrawal period with your express prior consent AND your acknowledgment that you lose the right of withdrawal once performance starts, you cannot claim a refund via withdrawal for credits already consumed. Unused credits remain refundable pro-rata per §5.2.

A model withdrawal form is provided in Annex 2 of Decree 45/2014; please email it to [email protected]. Refunds are issued within 14 days using the same payment method as the purchase, unless we expressly agree otherwise.

The statutory right of withdrawal does not apply to B2B (business) users; refunds are governed solely by §5.2.

6. Acceptable Use Policy

6.1 Prohibited Uses

You agree NOT to use Phora AI for:

  • Generating illegal, offensive, or harmful content
  • Creating images that violate intellectual property rights
  • Circumventing credit limits or billing systems
  • Reverse engineering or attempting to extract our AI models
  • Reselling or redistributing transformed images as a service
  • Automated scraping or excessive API usage that degrades service performance

6.2 Content Responsibility

You are solely responsible for the content of images you upload and transformations you create. We do not review user-generated content but reserve the right to remove content that violates these Terms.

6.3 Google Gemini AI Policies

Image transformations are powered by Google Gemini AI. You agree to comply with Google's Terms of Service and Gemini API Terms. Google's Terms of Service & Gemini API Terms.

6.4 AI-Generated Content Transparency (EU AI Act Article 50)

Regulation (EU) 2024/1689 (EU AI Act) Article 50 imposes transparency obligations on AI-generated images, applicable from 2 August 2026.

  • Outputs generated through the PHORA service are marked in a machine-readable format: outputs from the underlying model provider (Google Gemini) carry metadata / SynthID-style markers identifying the content as artificially generated or manipulated. PHORA does not remove these markers.
  • As a deployer: If you publish a generated image that depicts a real person, place or event in a misleading manner (deepfake), EU AI Act Article 50(4) requires you to visibly disclose that the content is artificially generated or manipulated. PHORA AI is intended for general product photography; deepfake use of this kind is prohibited under the Acceptable Use Policy.
  • We recommend (not strictly required for ordinary product photos) that you tell your shoppers when product visuals were generated or modified by AI (e.g. 'AI-generated visualization'). This strengthens consumer trust and mitigates unfair-commercial-practice risk (Hungarian Act XLVII of 2008 / EU UCPD 2005/29/EC).

7. Intellectual Property

7.1 Your Content

You retain all ownership rights to your original product images. By using Phora AI, you grant us a limited license to process your images solely for the purpose of providing transformation services.

7.2 Transformed Images

Transformed images are created by AI and are owned by you. However, because AI-generated content may have complex copyright implications, we recommend consulting legal counsel if you have specific concerns about commercial use.

7.3 Phora AI Technology

All intellectual property rights in the Phora AI application, including software, algorithms, user interface, and documentation, are owned by Phora AI. You may not copy, modify, distribute, or create derivative works based on our technology.

8. Service Availability and Limitations

8.1 Uptime

We strive to maintain 99% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance when possible.

8.2 Rate Limits

To ensure fair usage, we implement rate limits:

  • Maximum 5 concurrent image transformations per job
  • Google Gemini API rate limits apply (15 RPM for free tier, 1000 RPM for paid tier)

8.3 Image Specifications

Supported formats: JPEG, PNG, WebP
Recommended resolution: Minimum 1000x1000px for optimal results

9. Data and Privacy

9.1 Data Retention

Images are retained only for the duration of processing, then deleted. Job metadata is retained while you actively use the service and deleted within 48 hours of account deletion or store disconnection.

9.2 GDPR Compliance

We comply with GDPR requirements. We support data deletion and portability requests across all supported platforms (Shopify, WooCommerce, BigCommerce).

10. Disclaimers and Limitations of Liability

10.1 "As Is" Service

PHORA AI IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 AI-Generated Content

AI transformations are generated by Google Gemini AI. We do not guarantee:

  • Accuracy or quality of generated images
  • Suitability for specific commercial purposes
  • Absence of artifacts, errors, or unintended content

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PHORA AI SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages exceeding the amount you paid to Phora AI in the 12 months preceding the claim

11. Indemnification

You agree to indemnify and hold harmless Phora AI from any claims, damages, or expenses arising from:

  • Your use of the Service in violation of these Terms
  • Your violation of any third-party rights (e.g., intellectual property infringement)
  • Content you upload or transformations you create

12. Termination

12.1 Termination by You

You may terminate your account at any time by disconnecting your stores and deleting your account from the settings page.

12.2 Termination by Us

We may suspend or terminate your access to Phora AI if:

  • You violate these Terms or our Acceptable Use Policy
  • Your account shows signs of fraudulent activity
  • You fail to pay applicable fees
  • We discontinue the Service (with 30 days' notice)

12.3 Effect of Termination

Upon termination, your data will be deleted per our Privacy Policy. Outstanding fees remain due and payable.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via:

  • In-app notification
  • Email to your account email

Continued use of Phora AI after changes indicates acceptance of the updated Terms.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of Hungary and the European Union, without regard to conflict of law principles.

14.2 Dispute Resolution

Any disputes arising from these Terms shall be resolved through:

  • Good faith negotiation between the parties
  • If negotiation fails, binding arbitration in Budapest, Hungary, administered by the Arbitration Court attached to the Hungarian Chamber of Commerce and Industry

The arbitration clause applies exclusively to business (B2B) users.

14.3 EU Consumer Rights

If you are a consumer located in the European Union, nothing in these Terms affects your statutory consumer rights under EU law.

14.4 Consumer Conciliation Board (for consumers)

In consumer disputes, under Hungarian Act CLV of 1997 §§18–38 you may contact the conciliation board (békéltető testület) with jurisdiction at your place of residence. The board competent for Phora AI's registered seat is the Budapest Conciliation Board — address: H-1016 Budapest, Krisztina krt. 99. III/310, email: [email protected], web: https://bekeltet.bkik.hu. Phora AI is required to cooperate in the board's proceedings.

14.5 Online Dispute Resolution (ODR) Platform

The European Commission's ODR platform is available at https://ec.europa.eu/consumers/odr. Under Regulation (EU) 524/2013 Article 14, EU consumers may submit disputes regarding this Service online through the platform. Our contact point on the platform: [email protected].

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Phora AI.

15.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.

15.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

15.4 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
